NEC has changed the accounting principles under which it prepares its consolidated financial statements required under the Securities and Exchange Law of Japan and the Company Law of Japan from U.S. GAAP to Japan GAAP, effective for the first half of the fiscal year ending March 31, 2007. In light of the change, the information for the first half of the fiscal year ending March 31, 2007 and thereafter provided on this website has been prepared in accordance with Japan GAAP, except for annual reports filed with SEC on Form 20-F, which will continue to be prepared in accordance with U.S. GAAP.
The documents below are based on the NEC's consolidated financial statements of the relevant fiscal year prepared in accordance with generally accepted accounting principles in the United States ("U.S. GAAP").
There are significant differences between generally accepted accounting principles in Japan ("Japan GAAP") and U.S. GAAP and the financial information set forth in this document might be significantly affected if a reconciliation to Japan GAAP is presented.
NEC was unable to complete the additional analysis relating revenue recognition under U.S. GAAP for the financial statements to be filed with the SEC for the fiscal year ended March 31, 2006.
As a result, NEC has been unable to file its Form 20-F annual reports with the SEC for the fiscal year ended March 31, 2006 and thereafter. In addition, NEC's U.S. GAAP consolidated financial statements previously filed with or submitted to the SEC for the fiscal years ended March 31, 2000 and thereafter should no longer be relied upon. Because of the complexities involved in determining the adjustments required to restate its U.S. GAAP consolidated financial results, NEC has concluded that a restatement is not practicable.
