Announcement of Termination of NEC ADR Program

We have decided that we will terminate NEC's American Depositary Receipt ("NEC ADR") Program effective as of March 31, 2010.

Pursuant to the Deposit Agreement between NEC Corporation, The Bank of New York Mellon, as depositary of NEC ADRs, and all owners and beneficial owners of NEC ADRs, after the expiration of one year from the termination of NEC ADR Program, The Bank of New York Mellon may sell the underlying ordinary shares of NEC ADRs then outstanding, and hold the net proceeds thereof (after deducting the fees and any applicable taxes or governmental charges pursuant to the Deposit Agreement) without liability for interest or pay to the holders of NEC ADRs through their securities companies, in each case on a pro rata basis of NEC ADRs then outstanding. Until The Bank of New York Mellon sells the underlying ordinary shares, the holders of NEC ADRs will be entitled, same as before, to cancel their NEC ADRs and withdraw and sell the underlying ordinary shares in the Japanese stock market, or hold such underlying ordinary shares continuously through their securities companies or otherwise.

With respect to the cancellation instructions of NEC ADRs and sale of the underlying ordinary shares in the Japanese stock market, please contact your securities company.
