NEC's American Depositary Receipt ("NEC ADR") Program was terminated as of March 31, 2010.
Pursuant to the Deposit Agreement between NEC Corporation, The Bank of New York Mellon, as depositary of NEC ADRs, and all owners and beneficial owners of NEC ADRs, after March 31, 2011 (the expiration of one year from the termination of NEC ADR Program), The Bank of New York Mellon may sell the underlying ordinary shares of NEC ADRs then outstanding, and hold the net proceeds thereof (after deducting the fees and any applicable taxes or governmental charges pursuant to the Deposit Agreement) without liability for interest or pay to the holders of NEC ADRs through their securities companies, in each case on a pro rata basis of NEC ADRs then outstanding.
