As previously announced, as part of a cease and desist order issued by the U.S. Securities and Exchange Commission on June 17, 2008, the registration of each class of NEC Corporation’s securities under the U.S. Securities and Exchange Act of 1934 was revoked pursuant to Section 12(j) of the U.S. Securities and Exchange Act of 1934.
As a result, practically no U.S. broker or dealer is permitted to effect any transaction of any NEC security, including NEC’s American Depositary Receipts (“NEC ADRs”). NEC ADR holders, however, are able to cancel their NEC ADRs and withdraw and sell the underlying ordinary shares in the Japanese stock market. NEC ADR holders are also able to hold such underlying ordinary shares continuously through securities companies or otherwise until they wish to sell the NEC ordinary shares in the Japanese stock market.
In order to cancel their NEC ADRs, NEC ADR holders must provide, through their securities companies or otherwise, the Bank of New York Mellon, the depositary bank of NEC ADRs, with specific instructions to cancel their NEC ADRs and withdraw the underlying ordinary shares. In this connection, NEC plans to pay to the Bank of New York Mellon the ADR cancellation fees normally charged to the NEC ADR holders by the Bank of New York Mellon to the extent that the cancellation request is made from January 30, 2009 to December 31, 2009 (both dates inclusive).
